Abbreviated General Terms and Conditions PADMA-Original (Trademark of: SanoPharm Nederland bv) located in Barneveld at Prins Hendrikweg 2.

All our legal relationships are governed exclusively by the full text of our General Terms and Conditions (Chamber of Commerce in Arnhem dated March 5, 1993, Chamber of Commerce number 09077609). We will send you a copy free of charge upon request. Below is a summary of the full text.

General
The applicability of all other General Terms and Conditions is expressly excluded. Dutch law applies, excluding the Vienna Sales Convention. The Dutch text is binding.
Offers
All our offers are in principle non-binding unless we specify a specific period of validity. All information and/or data provided with the offer remain our (intellectual) property and are only binding on us if this has been expressly confirmed.
Agreements
Agreements, as well as further commitments and/or amendments, are only binding after our express confirmation/acceptance. We are entitled to demand security in advance and to engage third parties for the execution of the agreement.
Prices
Our prices include VAT and exclude any shipping costs. We expressly reserve the right to change prices.
Delivery and delivery time
Delivery is in principle ex our company/warehouse. Only carriage paid if and insofar as indicated by us. Partial deliveries are permitted. Delivery times are approximate. Exceeding these times does not entitle the other party to compensation. Cancellation is only possible after repeated (excessive) exceeding of the delivery time and after written notice of default by the other party, except in cases of force majeure on our part. Upon receipt, the delivered goods must be checked for damage/shortages, which must be noted on the transport documents. Return shipments, after our approval, are always at the expense of the other party.
Transport/risk
Unless otherwise agreed in writing, transport/packaging shall be at the expense and risk of the other party, even if the transport documents state otherwise.
For carriage paid deliveries, please refer to the customer service page on this website.

Non-attributable shortcomings In the event of non-attributable shortcomings, we may suspend our obligations or terminate our agreement. Liability Except for mandatory provisions, we are not liable for any compensation for damage. Our product liability is (partly) assessed on the basis of any liability insurance policies and the statutory provisions relating to product liability. In all other respects, the other party indemnifies us against any claim for compensation, regardless of the cause. Warranty Warranty is only provided under the conditions set by us. If, in our opinion, the other party has demonstrated that the delivered goods do not meet the normal requirements, we will only be obliged to deliver new goods free of charge. Warranty on goods/preparations purchased by us elsewhere only if and insofar as the manufacturer/supplier provides this. Complaints Complaints must be reported to us in writing within 8 days of delivery (8 days after the invoice date for invoices), after which the other party is bound. For hidden defects, a period of 8 days after discovery and a maximum period of 6 months after delivery applies. Returns are only accepted with our prior written consent. Payment and retention of title Payment shall be made in cash upon collection at our location or by using one of the payment options listed on the website. As long as the other party has not fully fulfilled its obligations, all goods delivered by us that are still at/with the other party remain our property and are protected as a non-possessory pledge for the value of what the other party owes us. In the event of resale of goods that have not (yet) been paid for, the other party is obliged to cooperate in the transfer of ownership. The other party is obliged to make the same retention of title towards its buyer. Disputes Disputes shall be submitted to the competent court in our place of business, unless we choose otherwise.
